# Exclusive License Agreement

This page summarizes the BeatPass Exclusive License Agreement. It applies when a buyer purchases exclusive rights to a beat through BeatPass.

## What Exclusive Means

An exclusive purchase stops future BeatPass licensing of that beat to new buyers. It does not cancel non-exclusive licenses that were validly issued before the exclusive purchase.

The producer keeps ownership except for the rights granted to the exclusive buyer under the applicable exclusive terms.

## Files and Rights

The buyer receives the files listed in the exclusive preview, checkout, or certificate. Rights such as Content ID, broadcast, sync, publishing splits, royalties, territory, and stems depend on the terms shown for that specific purchase.

## AI and Dataset Restrictions

Exclusive licensing does not allow AI training, dataset creation, model development, sample-pack creation, competing-library use, or reusable generative assets unless all required parties separately agree in writing.

## Rights Issues

BeatPass relies on producer warranties, AI disclosures, Proof of Rights, and license configuration when issuing exclusive certificates. If BeatPass later restricts a beat because of verified rights issues, AI misrepresentation, or Proof of Rights failure, BeatPass may provide support, documentation, credit, refund review, or certificate-status context under applicable policies.
