# Exclusive License

> Understanding BeatPass exclusive purchases and why the exact terms depend on the track's live offer.

An **exclusive license** is a one-time purchase on a track that offers an exclusive option. After a successful purchase, BeatPass generates the exclusive certificate and blocks future licensing of that track for new buyers.

  Exclusive purchase stops **future** licensing. It does **not** erase non-exclusive licenses that were legally issued before the purchase.

  Exclusive rights do not allow AI training, dataset creation, model development, sample-pack creation, or competing library use unless the required parties give separate written permission.

## How Exclusive Terms Work On BeatPass

Unlike the standard non-exclusive license, BeatPass exclusive purchases are configured **per track**. Before you buy, the **Exclusive License Terms** preview shows the rights attached to that specific offer.

The preview can define:

* Publishing split between the producer and the buyer.
* Producer royalty percentage, if any.
* Territory and governing law.
* Distribution, streaming, video, broadcast, and live-performance permissions.
* Content ID permission.
* File delivery, including whether stems or other formats are included.

<Note>
  The BeatPass starting configuration uses worldwide territory, a **20/80** producer-to-buyer publishing split, **3%** producer royalty, broad distribution and performance rights, Content ID permission, and **WAV (Uncompressed)**. In the current producer form, a publishable exclusive offer must also include **Stems (Separated Tracks)** and a producer delivery guarantee. Always use the track's preview as the source of truth.

## What Exclusive Usually Changes

* Future buyers cannot license the beat after your purchase succeeds.
* The preview can grant broader rights for Content ID, broadcast, sync, and large performances.
* The file package can be larger than a standard download.
* BeatPass generates an exclusive certificate tied to your purchase.

## What You Should Check Before You Buy

Review the preview for:

* The exact **file list**.
* Whether **Content ID** is allowed.
* Any **publishing split** or royalty term.
* Whether the offer grants the sync, broadcast, or live rights you need.
* Whether the license is marked **non-transferable**.
* Whether the certificate and related terms include AI-origin, rights-issue, and no-AI-training restrictions.

## What Happens After You Buy

When you complete an exclusive purchase:

1. BeatPass records the purchase and generates the exclusive certificate.
2. The track is marked sold for future buyers.
3. The rights and files from the preview become the terms attached to your purchase.
4. Any non-exclusive licenses issued **before** your purchase remain valid for those earlier users.

## Existing Non-Exclusive Licenses

  When you buy exclusive rights, existing non-exclusive licenses are **not** revoked.
</Warning>

If other artists downloaded the beat before your exclusive purchase:

* They can continue using the beat under their non-exclusive terms.
* Your exclusive rights apply to **future** licensing only.
* This is standard practice in the music industry and in BeatPass's current download flow.

## What Exclusive Does Not Automatically Mean

* It does **not** mean every track has identical files or identical legal rights.
* It does **not** automatically remove the producer's publishing share or royalty terms.
* It does **not** let you resell the beat or the license itself.
* It does **not** turn older legal downloads into infringement.
* It does **not** let you use the beat or stems for AI training, dataset creation, model development, sample packs, or competing libraries.

## AI-Origin and Rights Issues

BeatPass is a platform for human-made beats and relies on producer warranties, disclosures, and Proof of Rights when issuing exclusive certificates. Fully AI-generated beats are not permitted for exclusive sale on BeatPass.

If a beat includes AI-assisted material or AI samples, the producer must have rights that allow commercial sale, distribution, licensing, BeatPass-issued certificates, and buyer use under the exclusive terms. If BeatPass later restricts a beat because of a verified rights issue, AI misrepresentation, failure of Proof of Rights, or policy breach, BeatPass may provide support, credit, refund review, certificate-status context, or another remedy under the applicable policies.

BeatPass cannot grant rights the producer did not own or control.

    You prevent future licensing, but anyone who downloaded before your purchase keeps their non-exclusive rights.

    Current newly published or edited exclusive offers require stems and the producer's delivery guarantee. Older offers can differ, so review the file list in **Exclusive License Terms** before paying.

  <Accordion title="Can I use Content ID with every exclusive purchase?">
    Only if the exclusive preview and certificate allow it. The current default exclusive terms do, but producers can configure a different offer.

  <Accordion title="Can I resell the beat after buying it exclusively?">
    No. Exclusive licensing gives you the rights described in the purchase terms. It does not let you relist the beat itself as your own product.

  <Accordion title="Can I use an exclusive beat for AI training?">
    No. Exclusive licensing does not include AI training, dataset creation, model development, sample-pack creation, or competing library rights unless separately agreed in writing by all required parties.

    Yes. The preview is the quickest way to confirm the actual file list, publishing split, Content ID permission, and usage rights attached to that track.
